These terms and conditions govern your use of the MISE Media Ltd website and the services we provide. By accessing our website or engaging our services, you agree to be bound by these terms.

We are company number 09481461 registered in England.

Our registered office is at International House, 24 Holborn Viaduct, City Of London, London, EC1A 2BN.

Services

1.Scope of Services

MISE Media provides digital marketing services including but not limited to: SEO, PPC, content marketing, web design, web development, social media management, digital PR, backlink building, data insights, and AI-powered marketing.

The specific services provided to you will be outlined in a separate service agreement or proposal, which forms part of your contract with us.

2.Service Delivery

We will deliver services with reasonable skill and care in accordance with the agreed scope of work. Timelines and deliverables will be confirmed in writing prior to commencement.

We reserve the right to subcontract any part of the services to qualified third parties while remaining responsible for the quality of delivery.

3.Client Responsibilities

You agree to provide us with timely access to all materials, information, and approvals reasonably required for us to perform the services. Delays caused by your failure to do so may affect delivery timelines.

You are responsible for ensuring that any materials you provide to us do not infringe the intellectual property rights of any third party.

Intellectual Property

4.Ownership

All intellectual property rights in deliverables created by MISE Media remain with MISE Media until full payment has been received, at which point ownership transfers to the client as agreed in the service agreement.

Our website content, branding, and proprietary processes remain the exclusive property of MISE Media at all times.

5.Licence to Use

We grant you a limited, non-exclusive, non-transferable licence to use our website for the purpose of accessing information about our services and contacting us.

You may not reproduce, distribute, or create derivative works from any content on this website without our prior written consent.

Payment Terms

6.Fees and Invoicing

Fees for our services will be as agreed in the relevant service agreement or proposal. We reserve the right to amend our fees with reasonable notice.

Invoices are payable within 30 days of the invoice date unless otherwise agreed in writing. Late payments may attract interest at 8% above the Bank of England base rate.

7.Refunds

Due to the nature of digital marketing services, fees paid for work already commenced are non-refundable unless we are in material breach of our obligations.

Any disputes regarding invoices must be raised in writing within 14 days of receipt.

Limitation of Liability

8.No Guarantee of Results

Digital marketing outcomes depend on many factors outside our control, including search engine algorithm changes, market conditions, and competitor activity. We do not guarantee specific rankings, traffic levels, or revenue outcomes.

We will always act in your best interests and apply best-practice techniques, but past performance is not indicative of future results.

9.Liability Cap

To the fullest extent permitted by law, our total liability to you in connection with any services or these terms shall not exceed the total fees paid by you to us in the three months preceding the claim.

We shall not be liable for any indirect, consequential, or special losses including loss of profit, loss of business, or loss of data.

Confidentiality

10.Mutual Confidentiality

Both parties agree to keep confidential any information disclosed by the other party that is identified as confidential or that a reasonable person would consider to be confidential.

This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.

Termination

11.Termination by Either Party

Either party may terminate a service agreement by providing 30 days' written notice, unless a different notice period is specified in the service agreement.

We may terminate immediately if you fail to pay any sums due, breach these terms materially, or act in a way that brings our reputation into disrepute.

12.Effect of Termination

Upon termination, you shall pay all fees due up to the date of termination. We shall provide you with all completed work and materials paid for up to that date.

General

13.Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.Entire Agreement

These terms, together with any applicable service agreement, constitute the entire agreement between you and MISE Media regarding the subject matter herein.
